IMPORTANT NOTICE: Notice of Special General Meeting

IMPORTANT NOTICE
All members of the Archers & Bowhunters Association of Manitoba are invited to:
Special General Meeting at Sport Manitoba Hall of Fame Museum – 145 Pacific Ave, Winnipeg, MB
Saturday April 22, 2017
11:00 AM

The purpose of the meeting is to present two items regarding the date of the 2016 Annual General Meeting and approval of the 2015/2016 Audited Financial Statement. The following items will be proposed at the meeting:

1. Present a motion for an exemption to the bylaw “Annual General Meeting — The ABAM shall hold an Annual General Meeting on such a date and at such time and place as may be determined by the Board, provided the Annual General Meeting shall be held not more than 15 months after the preceding Annual General Meeting.”

Rationale: Due to the attendance and success of the Fall Board of Directors Meeting and Annual Awards Banquet, the Executive Committee believes hosting the Annual General Meeting to coincide with those events would be in the best interest of the organization. The rationale is better attendance from membership and club representatives after the hunting season has concluded. Additionally, it allows for reporting and review of the past year at the end of that current year. The bylaw in the constitution noted above, requires the AGM to be held within 15 months of the last AGM. If the organization were to follow this bylaw it would take the organization 3 years for the organization to schedule an AGM in early December.

2. Present a motion for an exemption to the bylaw “Business at Meetings — Election of Officers and approval of financial statements may only be conducted at the Annual General Meeting, unless new Offices are approved at a Special General Meeting in which case the first person to hold that Office may be elected at that meeting. Any other business including Ordinary Resolutions and Special Resolutions may be conducted at the Annual General Meeting or Special General Meetings.”

Rationale: This proposal stems from the current AGM date being too far beyond the end of the fiscal year. Annually, the fiscal year ends on March 31st and the subsequent approval of the audited financial statements do not follow until 15 – 16 months later. (example: The 2014/2015 fiscal year was from April 1, 2014 – March 31, 2015. The audited financial statements were not presented to the membership for approval until the 2016 AGM held on May 14,2016). As the Executive Committee is proposing the AGM date be moved into late 2017, it requires membership to approve the 2015/2016 Audited Financial Statement in order for the current fiscal year (2016/2017) to be approved at the proposed December AGM, just 8 months after it completion.

Following the decisions on the proposed bylaw exemptions there will be several items of information regarding our new ABAM 3D Triple Crown Series, 2017 Provincial 3D Team Program and our 2017 Provincial Target Team Program.

There will coffee, beverages and lunch served following the conclusion of the meeting.
